Terms of Service
These Terms of Service (the “Agreement”) govern your use of Monostate AI’s software and services (the “Services”). By accessing or using the Services, you agree to be bound by this Agreement.
1. Definitions
Customer means you or the entity you represent.
Authorised Users means individuals you authorize to use the Services under this Agreement.
Software means Monostate AI’s application(s) and any related APIs or websites.
Customer Data means data you upload or submit to the Software.
Fees means subscription fees and any overage fees payable by you as detailed on our pricing page.
2. License and Access
Subject to your payment of Fees and compliance with this Agreement, Monostate AI grants you a non-exclusive, non-transferable license to use the Software during the term.
You are responsible for managing credentials and restricting access by Authorised Users.
3. Customer Obligations
- You will comply with all applicable laws in your use of the Services.
- You are responsible for the accuracy, legality, and appropriateness of Customer Data.
- You will maintain network connections and systems required to access the Services.
4. Fees and Payment
Subscription Fees are due in advance; overage Fees are charged in arrears. All fees are non-refundable. Payment methods must be valid and accepted.
5. Confidentiality
Each party will keep the other’s confidential information secure and only use it to perform obligations under this Agreement.
6. Data Protection
We will process personal data in accordance with our Privacy Policy and applicable data protection laws.
7. Intellectual Property
Monostate AI retains all rights, title, and interest in the Software and any improvements. You retain ownership of Customer Data.
8. Warranties and Disclaimers
The Services are provided “as is.” Monostate AI disclaims all warranties to the fullest extent permitted by law.
9. Limitation of Liability
To the extent permitted by law, Monostate AI’s total liability is limited to the fees paid in the 12 months preceding the claim. Neither party is liable for indirect or consequential damages.
10. Term and Termination
This Agreement commences on the date you accept and continues until terminated according to its terms. Either party may terminate for material breach with notice.
11. Changes to Terms
We may update these terms with 30 days’ notice. Continued use of the Services constitutes acceptance.
12. Governing Law
This Agreement is governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of its courts.
